These Terms & Conditions (“Terms”) govern your access to and use of the Bill Nikalo applications, websites, and related services (collectively, the “Service”), operated by Bill Nikalo (“we”, “us”, or “our”). By creating an account, downloading our apps, or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. About the Service
Bill Nikalo is a point-of-sale (POS) and business management platform for merchants in India. Depending on your plan, the Service includes billing, inventory management, reports, kitchen display (KDS), WhatsApp-based notifications and ordering, QR menus, and an online storefront.
2. Eligibility & Account Registration
- You must be at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872.
- You must provide accurate, current, and complete information during registration and keep it updated.
- You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
- If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.
3. Plans, Pricing & Payment
- The Service is offered on a free plan and on paid subscription plans (currently Smart and Power), billed monthly or annually.
- All prices are stated in Indian Rupees (INR) and are exclusive of applicable taxes, including GST, which will be added to your invoice at the prevailing rate.
- Payments are processed through our payment partner (Razorpay). We do not store your card or banking details on our servers.
- Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal.
- We may revise plan pricing or features with reasonable prior notice. Price changes take effect from your next billing cycle.
4. Free Trial
New accounts may receive a 7-day trial with full access to paid features, without requiring a payment method. At the end of the trial, your account will move to the free plan unless you purchase a subscription. We reserve the right to modify or withdraw trial offers at any time.
5. Cancellation
You may cancel your subscription at any time from within the app or by contacting support@billnikalo.com. Cancellation stops future renewals; you retain access to paid features until the end of the current billing period. Refunds, where applicable, are governed by our Cancellation & Refund Policy.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law, including tax and consumer protection laws;
- Send spam, unsolicited, or misleading messages to customers via the Service (including WhatsApp features);
- Attempt to gain unauthorised access to the Service, other accounts, or our systems;
- Reverse engineer, copy, resell, or sublicense the Service except as permitted by law;
- Upload content that is infringing, defamatory, obscene, or otherwise objectionable.
7. Your Data & Content
You retain ownership of all business data you enter into the Service (products, invoices, customer records, etc.). You grant us a limited licence to host, process, and display that data solely to provide the Service. You are responsible for the accuracy of your data, including the correctness of GST rates, invoice details, and prices you configure. Our handling of personal data is described in our Privacy Policy.
8. Compliance Responsibility
Bill Nikalo provides tools that can assist with billing and GST-compliant invoicing, but you remain solely responsible for your own tax registrations, filings, invoice accuracy, and compliance with all laws applicable to your business.
9. Third-Party Services
The Service integrates with third-party services such as WhatsApp and payment gateways. Your use of those services is subject to their own terms and policies, and we are not responsible for their availability or conduct.
10. Intellectual Property
The Service, including its software, design, logos, and content (excluding your data), is owned by us or our licensors and is protected by applicable intellectual property laws. No rights are granted to you other than the limited right to use the Service in accordance with these Terms.
11. Availability & Disclaimer
The Service is provided on an “as is” and “as available” basis. While we aim for high availability, we do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
12. Limitation of Liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the subscription fees paid by you in the three (3) months preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data.
13. Suspension & Termination
We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, or fail to pay applicable fees. You may export your data before termination; we may delete account data after a reasonable retention period following closure of your account.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the app, email, or our website. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Subject to applicable law, the courts of India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.
